End User License Agreement

This End User License Agreement is entered into between Inspectalyze LLC ("Licensor," "we," "our," or "us") and you, the individual or entity accessing or using the Inspectalyze software platform ("Licensee," "you," or "your").

If you are accepting this EULA on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this EULA. If you lack such authority, you may not use the Software.

"Software" means the Inspectalyze web-based software-as-a-service platform, including all features, modules, updates, upgrades, documentation, APIs, and related services made available to you under this EULA.

The Software is a documentation and productivity tool designed to assist home inspectors in creating, organizing, and delivering inspection reports and related communications. It is not a professional inspection service, and no use of the Software constitutes the performance of an inspection by Inspectalyze.

Subject to your compliance with this EULA and payment of applicable fees, Inspectalyze grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the Software solely for your own lawful internal business purposes as a home inspection professional
• Generate, store, and deliver inspection reports and related documentation through the Software
• Allow your authorized employees or subcontractors to access the Software under your account, subject to these Terms

This license does not include the right to sublicense, resell, transfer, or otherwise make the Software available to any third party outside of your authorized business operations.

You expressly agree that you will NOT:

• Copy, reproduce, duplicate, or distribute the Software or any portion thereof
• Modify, adapt, translate, or create derivative works based on the Software
• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software to build a competing product or service
• Scrape, crawl, or extract data from the Software through automated means without written permission
• Resell, rent, lease, loan, sublicense, or otherwise transfer rights to the Software to any third party
• Use the Software in any manner that violates applicable federal, state, or local law
• Attempt to gain unauthorized access to any component of the Software, related systems, or other users' accounts
• Use the Software to generate false, fraudulent, or misleading inspection documentation

Any breach of these restrictions is a material breach of this EULA and may result in immediate termination of your license, without prejudice to any other remedies available to Inspectalyze.

The Software, including all associated intellectual property rights, is and shall remain the exclusive property of Inspectalyze LLC. This EULA grants you a license to use the Software — it does not transfer any ownership interest to you.

Inspectalyze retains all rights to:

• The Software's source code, algorithms, architecture, and design
• All trademarks, service marks, trade names, and logos associated with Inspectalyze
• All documentation, templates, and default content included in the Software
• Any improvements, modifications, or derivative works created by Inspectalyze

You retain ownership of the data, content, and reports you create using the Software. By using the Software, you grant Inspectalyze a limited license to store, process, and transmit your content solely as necessary to provide the Service.

Inspectalyze may, at its sole discretion and without prior notice:

• Release updates, patches, or new versions of the Software
• Add, modify, or remove features or functionality
• Change pricing for future subscription periods with reasonable notice
• Discontinue the Software or any portion thereof

Your continued use of the Software following any update constitutes acceptance of the modified Software. Inspectalyze is not obligated to maintain or support prior versions.

Access to the Software requires a paid subscription. You agree to pay all applicable fees as described at the time of purchase or renewal. Fees are:

• Billed on a recurring basis (monthly or annually) unless cancelled prior to renewal
• Non-refundable except as required by applicable law or expressly stated in our refund policy
• Subject to change upon reasonable advance notice

Failure to pay fees when due may result in suspension or termination of your access to the Software without further notice.

The Software is a documentation tool only. Inspectalyze does not employ home inspectors, does not supervise inspections, and does not review, validate, approve, or certify any inspection report produced through the Software.

All professional judgment, findings, conclusions, and representations made in any report are solely yours. Inspectalyze expressly disclaims any role as a professional, co-author, or endorser of your work product.

Nothing in this EULA or the Software constitutes legal, engineering, financial, or professional advice of any kind.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INSPECTALYZE DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY OUTPUT OR CONTENT
• WARRANTIES THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED

You assume all risk associated with your use of and reliance upon the Software.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSPECTALYZE AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of data, profits, revenue, business opportunity, or goodwill
• Claims arising from any inspection report, finding, or service you perform
• Any claim brought by your clients, agents, or third parties in connection with your use of the Software
• Damages resulting from unauthorized access to your account or data

INSPECTALYZE'S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO INSPECTALYZE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Inspectalyze LLC and its owners, officers, directors, employees, agents, and successors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software, including any inspection reports you generate
• Any claim brought by your clients or third parties related to your inspection services
• Your violation of this EULA or any applicable law
• Your negligence, misrepresentation, or willful misconduct
• Unauthorized use of the Software through your account

This EULA is effective from the date you first access the Software and continues until terminated.

Termination by You: You may terminate this EULA at any time by cancelling your subscription and ceasing all use of the Software.

Termination by Inspectalyze: We may terminate or suspend your license immediately, with or without notice, if:

• You breach any provision of this EULA
• You fail to pay applicable fees
• We determine your use of the Software poses legal, reputational, or security risk
• We discontinue the Software for any reason

Upon termination, your license to use the Software immediately ends. Provisions that by their nature survive termination — including intellectual property rights, indemnification, disclaimer of warranties, and limitation of liability — shall survive.

Effect on your data: Termination does not automatically delete your data. Any inspection reports you have published through the Software will remain hosted and accessible on Inspectalyze indefinitely, as those reports may be relied upon by homeowners and third parties. To request removal of published reports, you must submit a written request to privacy@inspectalyze.com. Non-published data (drafts, account information, and settings) will be retained for 90 days following termination to allow for reactivation or export, after which it will be permanently deleted.

You agree to comply with all applicable export control laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.

If the Software is used by or on behalf of the United States Government, the Software is provided as a "commercial item" as that term is defined in 48 C.F.R. §2.101. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in this EULA.

This EULA is governed by the laws of the State of Tennessee, without regard to conflict of law principles.

Any dispute arising under this EULA shall be resolved by binding arbitration in Tennessee. You waive any right to a jury trial and waive the right to participate in any class action or collective proceeding against Inspectalyze.

If any provision of this EULA is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

This EULA, together with Inspectalyze's Terms of Service and Privacy Policy, constitutes the entire agreement between you and Inspectalyze with respect to the Software and supersedes all prior agreements, representations, and understandings.

No waiver of any term of this EULA shall be deemed a further or continuing waiver of that term or any other term. Inspectalyze's failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.
